    Michael A. Bednarz joined Berluti McLaughlin & Kutchin LLP as an associate in 2013. He concentrates his practice in the areas of commercial and employment litigation. Mr. Bednarz has experience in all phases of civil litigation including discovery, mediation, arbitration, and trial.

    Mr. Bednarz advises and represents a wide array of business entities in areas of complex commercial litigation, including breach of contract, breach of fiduciary duty, business torts, unfair and deceptive trade practices, non-competition agreements, corporate freeze-outs, shareholder derivative lawsuits, and other commercial disputes.

    Mr. Bednarz also regularly represents clients in either pursuing or defending employment related claims including litigation of wage and hour actions brought under the Massachusetts Wage Act, overtime violations, retaliation, and independent contractor misclassification.

    Representative Engagements

    • Represented an individual shareholder in a closely held corporation in claims of breach of fiduciary duty and corporate freeze-out.
    • Represented a New York-based private equity firm and its senior officers and directors in defending allegations of breach of fiduciary duties, corporate waste, fraudulent transfer, and aiding and abetting breach of fiduciary duty.
    • Represented group of hospital employees in bringing claims for independent contractor misclassification, retaliatory discharge, and violation of the Massachusetts Wage Act.
    • Represented local consulting firm in securing arbitration award in connection with claims for breach of contract, tortious interference of with contractual and business relations, and unfair and deceptive trade practices.
    • Successfully briefed and argued for dismissal of claims pursuant to the Massachusetts anti-SLAPP statute.
    • Assisted in drafting briefs in support of successful argument before the Massachusetts Supreme Judicial Court seeking to uphold the denial of a motion to compel arbitration under a right of first refusal in a closely held corporation’s Articles of Incorporation.
    • While in law school, Mr. Bednarz was a member of the Suffolk University Law Review and enrolled in the Business Law and Financial Services Concentration (graduating with distinction). Mr. Bednarz also served as an intern for the Massachusetts Securities Division’s Enforcement Section and was a law clerk at the firm for approximately two years.
